Who are the Board of Directors? 

Every Fall semester, SAIT students elect 12 Directors of the Board; the business and affairs of the SAIT Students’ Association is governed by the Board of Directors (BOD), the BOD provides strategic oversight and decision making for the Association on behalf of the members who elected them. The BOD are the stewards of the Association, this means that they have a fiduciary duty and a duty of care to the Association. These terms may sound intimidating, but in general terms it means that those who are elected to the Board:

  • Have loyalty to SAITSA,
  • Respect the confidentiality of Board business,
  • Make reasonably informed decisions,
  • Take an active and direct role in key matters.

SAITSA Standing Committees

Finance Committee

The Finance Committee shall:

  • Review financial statements
  • Review SAITSA’s annual budget and recommend the budget’s approval to the Board
  • Approve capital asset requests in accordance with SAITSA’s Finance Policies and Procedures
  • Recommend changes to the SAITSA membership fee to the Board for approval
  • Recommend changes to the SAITSA member Health and Dental fee
  • Review Executive Council compensation every two (2) years
  • Reassess SAITSA’s insurance coverage every two (2) years
  • Advise the Board on issues related to the financial needs of SAITSA
  • Other finance-related duties and responsibilities as required.

The members of the Finance Committee shall be:

  • President, Chair of the Committee
  • A maximum of six (6) members of SAITSA, one of which shall be appointed as the Vice-Chair of the Committee
  • Executive Director, non-voting, ex-officio.

*Note: The Vice-Chair shall assume the chair responsibilities from May to September to provide transition and capacity building time for the incoming President. The President will assume chair responsibilities from September to May. Page 25 of 28

 

Governance Committee

The Governance Committee shall:

  • Review Bylaws and policies and make recommendations to the Board;
  • Provide the Executive Council and/or Board with recommendations for strategic governance of SAITSA
  • Provide support to all Board committees regarding terms of reference
  • Provide Bylaw and policy interpretation
  • Prepare guidance for any new governance initiative of SAITSA
  • Ensure Board renewal strategies are maintained
  • Other governance-related duties and responsibilities as required.

The members of the Governance Committee shall be:

  • Board Chair, Chair of the Committee
  • A maximum of six (6) members of SAITSA, one of which shall be appointed as Vice-Chair of the Committee
  • President, non-voting, ex-officio.

 

Nominations Committee

The Nominations Committee shall:

  • Review applications for appointments as needed
  • Conduct a review of the Neutral Facilitator
  • Conduct a review of the Board of Governors Student Representative
  • Conduct a review of the Executive Council
  • Investigate complaints
  • Other duties and responsibilities as required.

The members of the Nomination Committee shall be:

  • Board Vice-Chair, Chair of the Committee;
  • A maximum of six (6) members of SAITSA, one of which shall be appointed as Vice-Chair of the Committee.
